    Establish the capital requirement or transaction objective, the relevant markets, and the constraints on structure and timing. Agree the scope of the engagement and the criteria that make a counterparty relevant.

  2. Establish alignment.

    Develop the investor, buyer, or strategic counterparty universe. Assess investment mandate, sector appetite, geography, capacity, and decision-making authority. Test those assumptions through direct market engagement.

  3. Prepare for scrutiny.

    Clarify the investment or transaction rationale and the evidence behind it. Address the financial, operational, and commercial preparation required for review. Work on revenue quality, operating visibility, and founder dependence can begin well before a transaction is launched.

  4. Originate and advance.

    Develop direct conversations, establish interest, and coordinate the next steps. As discussions progress, support information exchange, diligence, and transaction coordination within the agreed mandate.
